This contract is entered into between Ethical SEO Consulting LLC., doing business as Juris Digital (hereinafter referred to as ‘JurisDigital’, ‘We’, ‘Our’, or ‘Us’), and your company (hereinafter referred to as “Client, You, and/or Your”) on the day you sign the agreement.
Please read these Terms and Conditions carefully before signing the agreement.
Website Design & Development
Juris Digital creates custom designs and flexible layouts that adapt to the capabilities of many devices and screen sizes. We will create a static mockup of purchased templates for You to review and approve.
You’ll have plenty of opportunities to review our work and provide feedback.
What Do Both Parties Agree to?
Client: You have the authority to enter into this contract on behalf of yourself, your company, or your organization. You’ll give Us everything We need to complete the project as and when and in the format We need it. You’ll review Our work, and provide feedback and approval promptly, too. Deadlines work two ways, so You’ll also be bound by the dates we set together.
Juris Digital: We have the experience and ability to do everything we’ve agreed to with You, and we’ll do it all in a professional and timely manner. We’ll endeavor to meet every deadline that’s set, and we’ll maintain the confidentiality of everything you give us.
If, at any stage, You change your mind about what You want to be delivered or are not happy with the direction of Our work, please let Us know. The average web design and development project takes thirty to sixty (30–60) days from beginning to completion.
Changes & Revisions
For simplicity, Juris Digital asks that clients fully review each design mockup and provide changes once for each stage. This makes the design process run smoother. There are two rounds of revisions included for the website design mockup & two rounds of revisions included for HTML changes. The price provided by Juris Digital at the beginning of this contract is based on an estimate of time and resources needed to accomplish your project scope and goals. Any changes requested outside of the original project scope or that differ from the approved design will be estimated and billed by Juris Digital at $250/hr.
Juris Digital’s development code standards feature fully responsive HTML 5, CSS 3, Javascript, and JQuery in an unobtrusive manner. Each page will be implemented without any browser errors following the W3C standard. Additionally, Juris Digital will NOT use any Adobe Flash-based applications or website functions that will be inoperable on certain devices and browser types. Crawlability and Accessibility are high priorities; each site will have an HTML and XML sitemap. The website will be compatible with Microsoft Edge and up-to-date versions of Chrome, Firefox, and Safari at a minimum. IE11 compatibility is not included, as the Development of IE ended in 2015. Juris Digital will offer IE11 compatibility at an extra fee due to the additional time involved in development.
Website Development Timelines
Juris Digital uses a tried and tested development process that enables a project to smoothly and according to pre-set deadlines. The development process is set forth below.
The dates below are based on the date of the contract signing. The days indicated below are business days.
- Juris Digital will schedule your kick-off call within three days of signing the contract and the Client making the payment.
- All photography and videos to be included must be provided by the Client within seven days of the kick-off call to enable the designers to begin the project.
- Within twentyone (21) days after the digital files are provided by the Client, the first static design mockup will be delivered to the Client for initial review.
- The Client will have three days to review the design and provide Juris Digital with any proposed changes.
- Following receipt of the initial feedback from the Client, Juris Digital will provide mockup #2 to for final review within fourteen (14) days.
- Following receipt of Mockup #2 the Client will have seven (7) days to complete the final substantive review.
- After receipt of the final review, Juris Digital will incorporate any changes and prepare final mockup #3 within five (5) days for client approval.
- The Client will have three (3) days from receipt of final mockup #3 to approve. If explicit approval is not communicated by the Client, Juris Digital will assume approval of the design and move forward with the development.
- Juris Digital will deliver the website on its development servers within fourteen (14) days. Please note that ny site needing manual content transfer will incur an additional timeline buffer. Every 50 pages over 100 pages will add an additional day to the development timeline.
- The Client will have three additional days to evaluate the website before it goes live with Your approval.
- Additional rounds of revision can be performed for an additional fee.
SEO Services
Juris Digital believes in providing effective SEO services. Work may vary from month to month depending on the goals of the project and Google changes.
- Juris Digital will provide the Client with Search Engine Optimization Services (hereinafter referred to as “SEO”) as described in this contract. Juris Digital will use specific keywords and/or phrases to improve the search engine ranking of and/or position the contents of the Client’s website.
- All invoices must be paid in full within seven days of billing.
Juris Digtial’s SEO services are intended to serve two primary purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site.
Juris Digtial’s SEO Services may include (but are not limited to):- Researching keywords and phrases to select appropriate, relevant search terms;
- Obtaining “back links” from other related websites and directories to generate link popularity and traffic;
- Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary;
- Analysis and recommendations on optimal website structure, navigation, code, etc., for best SEO purposes;
- Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches;
- Create traffic and ranking reports showing rankings in the major search engines; and
- Creating blog posts and social media posts.
- For the purposes of receiving professional SEO services, Client agrees to provide the following:
- Administrative/backend access to the website for analysis of content and structure;
- Permission to make changes for the purpose of optimization and to communicate directly with any third-parties;
- Unlimited access to existing website traffic statistics for analysis and tracking purposes;
- Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by Client for search engine optimization purposes; and
- If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages.
- Client acknowledges the following with respect to SEO services:
- All fees are non-refundable;
- All fees, services, documents, recommendations, and reports are confidential;
- Juris Digital has no control over the policies of search engines concerning the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory;
- Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Juris Digital does not guarantee #1 positions or consistent top ten (10) positions for any particular
keyword, phrase, or search term; - Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within thirty (30) days of campaign completion, Juris Digital will re-optimize the website/page based on the current policies of the search engine in question;
- Engage in Digital Public Relations Campaigns designed to promote the firm locally and earn natural backlinks;
- Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid-for inclusion or expedited service fees. Juris Digital will offer a list of expedited listing services upon request;
- Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Juris Digital does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
- Juris Digital is not responsible for changes made to the website by You or other parties that adversely affect the search engine rankings of the Client’s website.
- Additional Services not listed herein including, but not limited to, copywriting, digital public relations campaigns, advertising campaigns, and additional consulting, can be provided for a fee of $100-$200 per hour.
- The Client guarantees any information provided to Juris Digital including but not limited to text, graphics, photos, designs, trademarks, or other artwork for inclusion on the website are owned by the Client, are not subject to copyright or trademark, or that the Client received permission from the rightful owner(s) to use each of the elements. If any information provided is subject to protection, the Client will hold harmless, protect, and defend Juris Digital and its subcontractors from any liability or suit arising from the use of such elements.
- During this agreement, any content or updates to the Client’s website must be submitted and approved by Juris Digital. Client overwriting can impact the efficacy of Juris digital’s work. Juris Digital is not responsible for the Client overwriting SEO work on the Client’s site. The Client will be charged an additional fee for Juris Digital to re-constructing the site’s content at an hourly rate of $200 per hour. Notwithstanding any other provision of this Agreement, Juris Digital’s obligation to provide free SEO services shall cease in the event the Client’s conduct overwrites the SEO services provided.
Payment Policies
Automatic ACH or credit card payment on file is required for prices quoted in proposals. A three percent (3%) service fee may be applied to all credit card transactions. Payments are due within seven days of the billing invoice date. All payments not received on time are subject to billing the card on file with a three percent (3%) late fee.
Monthly Terms: Unless otherwise agreed, Your monthly service agreement renews automatically each month until terminated. Either party may terminate this agreement for any reason. Termination requires a thirty (30) day notice before the beginning of a month to cancel or pause for that month. Termination or pause notice must be provided in writing, which includes e-mail, and cancellation shall not be effective before completion of the minimum term.
Annual Terms: A yearly agreement requires a one-year minimum commitment. You will be invoiced in the first month of the annual commitment period at our discretion. If Your yearly agreement is suspended for non-payment before the end of the annual commitment period, You will no longer qualify for yearly agreement pricing for the annual commitment period and You will be charged the full Monthly rate for the number of months the agreement was active.. Upon the anniversary of Your yearly agreement, Your yearly agreement will automatically be renewed for a subsequent one-year period, unless terminated in writing thirty (30) days prior to the start of the new annual term.
All payments are due within seven (7) days from the invoice date. They must be paid by bank transfer using the bank information provided on the invoice or by credit card.
If You fail to pay the invoice within seven (7) days of receipt of the email, Your access to our services and hosting services may be suspended, and You will need to contact Us and pay any outstanding invoices in order to resume access.
Refund & Cancellation
Our clients come first and we endeavor to make your experience with Juris Digital a meaningful and effective partnership. However, if you’re unsatisfied with our service we will work with you to identify and remedy the issue. If the issue cannot be meaningfully resolved, our refund and cancellation policies for our services are set forth below.
SEO Services
Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Juris Digital. All payments and deposits for Search Engine Optimization services are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Juris Digital does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in Your agreement. We require thirty (30) days’ notice before the beginning of a month to cancel or pause for that month. Notice must be provided in writing and cancellation shall not be effective prior to completion of the minimum term. If a service is canceled, all monies paid up to the effective date of cancellation shall be retained by Juris Digital and, if applicable, a fee for any work completed beyond what has already been paid for shall be paid by the client.
Website Design

Advertising & Social Media

All payments and deposits for Google ads or local services ads management are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Juris Digital does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in your agreement. We require thirty (30) days’ notice before the beginning of a month to cancel or pause for that month; notice must be in writing and cancellation shall not be effective prior to completion of the minimum term. If a service is canceled, all monies paid up to the effective date of cancellation shall be retained by Juris Digital and, if applicable, a fee for any work completed beyond what has already been paid for shall be paid by the Client.
Content
Content will be written to SEO best practice standards. Each page will contain a minimum of approximately 500 words. Once a payment or deposit is made it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Juris Digital. All payments and deposits for content services are nonrefundable, including payments for one-time, setup, monthly, and maintenance tasks. Juris Digital does not issue prorated refunds for fees paid in advance. Services may not be canceled or paused during the minimum term as stated in your agreement. General Provisions
These terms and conditions may be updated at any time without notice.
Results
In this industry, lead generation or specific results related to advertising cannot be guaranteed. What we can promise and will deliver is development of a first-rate website design, use of optimal terms for search engine optimization and/or Our fees are based on our time spent, and refunds are not given based on not receiving specific results.
Our People
Juris Digital hires talented, experienced professionals to provide expert-level service to our clients. Juris Digital’s team has expertise in digital marketing and SEO strategies. Additionally, Juris Digital places a premium on continuous on-the-job training and continuing education to stay up to date on the latest industry trends and technological advancements. Where applicable, during the term of Your contract with Juris Digital and for a period of twelve (12) months after the termination of the contract, no Client shall, without Juris Digital’s written consent, deliberately solicit for employment or directly or indirectly employ or engage as an employee or contractor Juris Digital’s employees or contractors that are or were connected with or have come into contact with the other as a result Juris Digital’s services. Should a Client advertise a position and a Juris Digital employee is successful in obtaining that position, a placement fee of $100,000 is payable to Juris Digital.

Dispute Resolution

However, where a dispute cannot be resolved between senior management, You agree that any claim or dispute relating to our services, as well as any other matters, disputes, or claims against Us, shall first be Mediated and/or Arbitrated in an attempt to resolve any and all issues.
